Senior Corporate Governance Specialist
Job Description
We are seeking a highly experienced Senior Corporate Governance Specialist to join our team. The role is responsible for overseeing corporate governance practices, supporting Board and Committee affairs, and ensuring the effective implementation of governance frameworks in line with best practices and applicable regulations for listed companies.
Responsibilities
- Develop, review, and enhance corporate governance policies and procedures
- Organize and document General Assembly meetings
- Serve as Board Secretary (agenda preparation, minutes, reporting, and follow-up on resolutions)
- Oversee Board and Committee member disclosures
- Prepare professional Board & Committee presentations
- Draft Tadawul announcements related to governance matters
- Draft and review bylaws, committee charters, and governance documents
- Coordinate and manage Board Committee meetings
- Strengthen governance structures and clarify roles between the Board and Executive Management
- Deliver governance awareness sessions and training programs
Qualifications
- Bachelor’s degree in Law, Business Administration, Finance, or a related field
- 4–10 years of experience in Corporate Governance (mandatory)
- CME-1 certification (CMA – Saudi Arabia)
